These Terms of Service (“Terms”) are a legally binding agreement between you and Gravel World LLC that govern your use of our website and related services (collectively, the “Gravel World Platform”). The Gravel World Platform is an online platform that allows users (“Members”) to search for and book a variety of travel services, including accommodations, activities, and excursions (collectively, “Gravel World Services”). Members who provide Gravel World Services are “Organizers,” and Members who book or use Gravel World Services are “Guests/Participants.” Gravel World is not a party to any contract between Organizers and Guests/Participants, and is not a real estate broker, travel agency, or insurer. Gravel World is not acting as an agent in any capacity for any Member, except as specified in the Payments Terms of Service (“Payment Terms”). In addition to these Terms, you agree to be bound by our Privacy Policy and our Payment Terms, which govern any payment services provided by Gravel World. If you are an Organizer, you are responsible for understanding and complying with all laws, rules, and regulations that apply to your Gravel World Services. By using the Gravel World Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a contract. If you are using the Gravel World Platform on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. We reserve the right to modify these Terms at any time, and any changes will be effective immediately upon posting. It is your responsibility to review these Terms regularly and to familiarize yourself with any changes. Your continued use of the Gravel World Platform after any changes have been made will constitute your acceptance of those changes.

Guests/Participants Terms
1. Our Mission.
Our mission is to provide travelers with a range of unique and authentic travel experiences. Through our platform, you can browse and book a variety of services offered by local Organizers around the world. Before booking a service, be sure to review the listing details and Organizer profile, and feel free to message the Organizer with any questions.
2. Searching and Booking on Gravel World. 2.1 Searching. You can search for Gravel World Services by using various criteria, such as location, type of service, and dates of availability. All listings on the Gravel World Platform are created and provided by Organizers, and Gravel World is not responsible for the accuracy or completeness of any listing or Organizer profile. 2.2 Booking. When you book a Gravel World Service, you enter into a contract directly with the Organizer. You are responsible for reviewing the terms of the booking, including the listing details, Organizer policies, and any applicable terms and conditions. Gravel World is not responsible for any disputes or issues that may arise between you and the Organizer.
3. Cancellations, Travel Issues, Refunds, and Booking Modifications. 3.1 Cancellations and Refunds. Cancellation policies and refund policies for each Gravel World Service are set by the Organizer and are displayed in the listing details. Gravel World is not responsible for any cancellations or refunds, and any disputes regarding cancellations or refunds must be resolved directly with the Organizer. 3.2 Travel Issues. If you experience any issues or problems during your stay, you should contact the Organizer as soon as possible to try to resolve the issue. If you are unable to reach a resolution with the Organizer, you may contact Gravel World for assistance
3.3 Booking Modifications. You may request to modify your booking by contacting the Organizer directly. The Organizer may or may not agree to the modification, and any modifications will be subject to the Organizer’s policies and availability.
4. Your Responsibilities and Assumption of Risk. 4.1 Your Responsibilities. You are responsible for complying with all laws, rules, and regulations that apply to your use of the Gravel World Platform and the Gravel World Services you book. You are also responsible for respecting the rights and property of the Organizers and any third parties you interact with while using the Gravel World Platform. 4.2 Assumption of Risk. You understand and acknowledge that there are risks inherent in travel and in using the Gravel World Platform, and you assume all such risks. Gravel World is not responsible for any damages or injuries that may occur during your use of the Gravel World Platform or the Gravel World Services you book.
Organizer Terms
5. Providing Services on Gravel World. 5.1 Organizer Requirements. To become an Organizer on Gravel World, you must meet certain requirements, such as being at least 18 years old and having a valid government-issued identification. You must also provide accurate and complete information about your Gravel World Services, including listing details and any applicable policies.
5.2 Organizer Responsibilities. As an Organizer, you are responsible for providing the Gravel World Services you offer in a professional and timely manner. You are also responsible for understanding and complying with all laws, rules, and regulations that apply to your Gravel World Services.
5.3 Organizer Liability. You understand and acknowledge that you are solely responsible for any liabilities or damages that may arise from your provision of Gravel World Services. Gravel World is not responsible for any disputes or issues that may arise between you and your Guests/Participants.
6. Managing Your Listings.
6.1 Listing Accuracy. You are responsible for ensuring that your listings are accurate and complete, and that they do not contain any false, misleading, or deceptive information. You must also update your listings to reflect any changes or unavailability in a timely manner.
6.2 Listing Policies. You may set certain policies for your Gravel World Services, such as cancellation policies, pet policies, and age requirements. You are responsible for enforcing your policies and for ensuring that they are clearly communicated to Guests/Participants.
7. Cancellations, Travel Issues, and Booking Modifications.
7.1 Cancellations and Refunds. As an Organizer, you are responsible for setting and enforcing cancellation policies for your Gravel World Services. You must honor any valid refund requests in accordance with your policies and any applicable laws.
7.2 Travel Issues. If a Guests/Participants experiences any issues or problems during their stay, you must try to resolve the issue in a timely and professional manner. If you are unable to reach a resolution with the Guests/Participants, you may contact Gravel World for assistance.
7.3 Booking Modifications. You may receive requests to modify bookings from Guests/Participants. You are not required to agree to any modifications, and any modifications you do agree to are subject to your availability and policies.
8. Taxes. As an Organizer, you are responsible for understanding and complying with any tax obligations that may apply to your Gravel World Services. You must accurately report and pay any applicable taxes in a timely manner.
General Terms
9. Reviews.
9.1 Review Process. After a booking is completed, Guests/Participants and Organizers may leave reviews for each other on the Gravel World Platform. Reviews must be based on the Guest's/Participant's or Organizer’s actual experience and may not contain any false, misleading, or inappropriate content.
9.2 Removal of Reviews. Gravel World reserves the right to remove any reviews that violate these Terms or that we determine, in our sole discretion, to be inappropriate.
10.Content.
10.1 Content Ownership. You retain ownership of any content you post on the Gravel World Platform, including listings, reviews, and any other materials you create or upload. By posting content on the Gravel World Platform, you grant Gravel World a license to use and display that content for the purpose of providing the Gravel World Platform to you and other Members.
10.2 Content Responsibility. You are solely responsible for the content you post on the Gravel World Platform, and you agree not to post any content that is illegal, false, misleading, or that infringes on the rights of any third party. Gravel World is not responsible for any content you post on the Gravel World Platform.
11.Fees. 11.1 Organizer Fees. Organizers are required to pay a fee to Gravel World for the use of the Gravel World Platform. The fee is a percentage of the total booking price, and is subject to change. 11.2 Guest/Participant Fees. Guests/Participants may be required to pay a fee to Gravel World for certain services, such as booking or payment processing. The fee will be clearly disclosed to the Guest before the service is provided.
12.Gravel World Platform Rules. In addition to these Terms, you must also comply with the Gravel World Platform Rules, which outline the acceptable and unacceptable use of the Gravel World Platform. The Gravel World Platform Rules may be modified by Gravel World at any time, and any changes will be effective immediately upon posting
13.Termination, Suspension, and Other Measures.
13.1 Termination. Gravel World may terminate your access to the Gravel World Platform at any time, for any reason, without notice. Upon termination, you will no longer be able to access your account or use the Gravel World Platform.
13.2 Suspension. Gravel World may suspend your access to the Gravel World Platform if we believe that you have violated these Terms or the Gravel World Platform Rules. Suspension may be temporary or permanent, and may include the removal of any content you have posted on the Gravel World Platform.
13.3 Other Measures. Gravel World may take other measures, such as limiting your access to certain features of the Gravel World Platform, if we believe that you have violated these Terms or the Gravel World Platform Rules.
14.Modification.
Gravel World may modify the Gravel World Platform or any of the Gravel World Services at any time, for any reason, without notice. We will not be liable to you or any third party for any modifications we make. 15.Resolving Complaints and Damage Claims.
15.1 Complaints. If you have a complaint about a Gravel World Service or an Organizer, you should contact the Organizer directly to try to resolve the issue. If you are unable to reach a resolution with the Organizer, you may contact Gravel World for assistance.
15.2 Damage Claims. If you believe that an Organizer’s Gravel World Service caused damages to you or your property, you must inform the Organizer as soon as possible and provide a detailed description of the damages. You and the Organizer must try to resolve the issue directly, and may seek assistance from Gravel World if necessary.
16.Gravel World’s Role.
Gravel World is an online platform that provides a venue for Members to search for and book Gravel World Services. Gravel World is not a party to any contract between Organizers and Guests/Participants, and is not responsible for any disputes or issues that may arise between them.
17.Member Accounts.
17.1 Account Registration. You must register an account to access and use many features of the Gravel World Platform. You must provide accurate and complete information when creating your account, and you must keep your account information up to date
17.2 Account Security. You are responsible for maintaining the security of your account and for any actions that occur under your account. You must not share your account password with any third party and must notify Gravel World immediately if you suspect any unauthorized use of your account.
18.Disclaimer of Warranties.
THE GRAVEL WORLD PLATFORM AND ALL GRAVEL WORLD SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. GRAVEL WORLD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GRAVEL WORLD DOES NOT WARRANT THAT THE GRAVEL WORLD PLATFORM OR ANY GRAVEL WORLD SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, AND GRAVEL WORLD WILL NOT BE LIABLE FOR ANY INTERRUPTIONS OR ERRORS.
19.Limitations on Liability.
IN NO EVENT WILL GRAVEL WORLD BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THE GRAVEL WORLD PLATFORM OR ANY GRAVEL WORLD SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT GRAVEL WORLD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL GRAVEL WORLD'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EXCEED THE AMOUNT PAID BY YOU TO GRAVEL WORLD IN THE LAST SIX MONTHS, OR, IF GREATER, ONE HUNDRED DOLLARS ($100).
20.Indemnification.
You agree to indemnify and hold Gravel World and its affiliates, officers, agents, and employees harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Gravel World Platform, your violation of these Terms, or your violation of any rights of another.
21.Contracting Entities. The contracting entity for these Terms will be the Gravel World entity set out in Schedule 1.
22.Governing Law and Venue.
22.1 Governing Law. These Terms and any disputes arising out of or in connection with these Terms will be governed by the laws of the state of Florida, United States, without giving effect to any principles of conflicts of law.
22.2 Venue. Any disputes arising out of or in connection with these Terms will be resolved exclusively in the federal or state courts located in Miami, Florida, United States. You consent to the personal jurisdiction of these courts and waive any objection to the venue of these courts.
23.Dispute Resolution and Arbitration Agreement.
23.1 Dispute Resolution.
In the event of a dispute arising out of or in connection with these Terms or the Gravel World Platform, the parties will attempt to resolve the dispute through good faith negotiations.
23.2 Arbitration. If the parties are unable to resolve the dispute through negotiations, the dispute will be resolved through binding arbitration in accordance with the American Arbitration Association's rules for commercial arbitration. The arbitration will be conducted in Miami, Florida, United States.
23.3 Class Action Waiver. You and Gravel World agree that any arbitration will be conducted on an individual basis and not as a class action or other representative action. You and Gravel World further agree that the arbitration will not be consolidated with any other arbitration proceeding.
24.China Governing Law and Dispute Resolution.
24.1 Governing Law. If you are a Member residing in or using the Gravel World Platform from China, these Terms and any disputes arising out of or in connection with these Terms will be governed by the laws of the People's Republic of China, without giving effect to any principles of conflicts of law.
24.2 Dispute Resolution. If you are a Member residing in or using the Gravel World Platform from China, any disputes arising out of or in connection with these Terms will be resolved through friendly consultation or through legal proceedings in accordance with the laws of the People's Republic of China.
25.Brazil Governing Law and Venue.
25.1 Governing Law. If you are a Member residing in or using the Gravel World Platform from Brazil, these Terms and any disputes arising out of or in connection with these Terms will be governed by the laws of Brazil, without giving effect to any principles of conflicts of law.
25.2 Venue. If you are a Member residing in or using the Gravel World Platform from Brazil, any disputes arising out of or in connection with these Terms will be resolved exclusively in the courts located in Rio de Janeiro, Brazil. You consent to the personal jurisdiction of these courts and waive any objection to the venue of these courts.
26.Rest of World Dispute Resolution, Venue, and Forum, and Governing Law.
26.1 Dispute Resolution. If you are a Member residing in or using the Gravel World Platform from a location outside of the European Economic Area, Switzerland, the United Kingdom, China, or Brazil, any disputes arising out of or in connection with these Terms will be resolved through friendly consultation or through any mutually agreed upon dispute resolution procedure.
26.2 Venue. If you are a Member residing in or using the Gravel World Platform from a location outside of the European Economic Area, Switzerland, the United Kingdom, China, or Brazil, any disputes arising out of or in connection with these Terms will be resolved exclusively in the courts located in Miami, Florida, United States. You consent to the personal jurisdiction of these courts and waive any objection to the venue of these courts.
26.3 Forum. If you are a Member residing in or using the Gravel World Platform from a location outside of the European Economic Area, Switzerland, the United Kingdom, China, or Brazil, the parties irrevocably and unconditionally waive any right they may have to a trial by jury in respect of any litigation arising out of or relating to these Terms or the Gravel World Platform.
26.4 Governing Law. If you are a Member residing in or using the Gravel World Platform from a location outside of the European Economic Area, Switzerland, the United Kingdom, China, Rest of World Dispute Resolution, Venue, and Forum, and Governing Law.
26.5 Governing Law. If you are a Member residing in or using the Gravel World Platform from a location outside of the European Economic Area, Switzerland, the United Kingdom, China, or Brazil, these Terms and any disputes arising out of or in connection with these Terms will be governed by the laws of the state of Florida, United States, without giving effect to any principles of conflicts of law.
27.Miscellaneous.
27.1 Entire Agreement. These Terms constitute the entire agreement between you and Gravel World and supersede any prior agreements or understandings, whether oral or written.
27.2 Waiver. The failure of Gravel World to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
27.3 Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent possible, and the remaining provisions of these Terms will remain in full force and effect.
27.4 Assignment. You may not assign or transfer these Terms or your rights or obligations under these Terms, in whole or in part, without the prior written consent of Gravel World. Gravel World may assign or transfer these Terms or its rights or obligations under these Terms, in whole or in part, without your consent.
27.5 No Third-Party Beneficiaries. These Terms are for the benefit of the parties only and are not intended to confer any rights or remedies upon any third party.
27.6 Force Majeure. Gravel World will not be liable for any failure to perform its obligations under these Terms if such failure is due to any cause beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, strikes, or other labor disputes, governmental actions, and natural disasters.
